1. Accepting the Terms:

• 1.1 The following Terms constitute a legally binding agreement between you and IGIVU LLC. in relation to the provision of IGIVU LLC Service to you. Specific Terms defined in either Borrower’s Rules or Lender’s Rules section of this page are an integral part of this legally binding agreement and shall have the same meaning as set out in the relevant rules. 
  
  
• 1.2 When you register for an IGIVU LLC account, including whether you are registering as a Lender or a Borrower; you are accepting these Terms. 
  
  
• 1.3 When you click “I Accept & Agree” to the Terms, you are agreeing that: 
  
  
• 1.3.1 You are promising to us that you will comply with the Borrowers’ Rules while you are using the IGIVU LLC Service as a Borrower. 
  
  
• 1.3.2 You are promising to us that you will comply with the Lenders’ Rules when you are using the IGIVU LLC Service as a Lender.
  
  
• 1.4 For any assistance, complaints, further questions or comments while using the IGIVU LLC Service, you will contact IGIVU LLC Customer Support via Email or customer support number. 

2. Understand IGIVU LLC’s Nature of Service: You understand that:

• 2.1 IGIVU LLC is acting as an intermediary only in respect of any transactions entered into between the Lenders and Borrowers for the renting items through the IGIVU LLC website or IGIVU LLC service. Any agreement for the rental of any items through IGIVU LLC is between the relevant Lender and Borrower.
  
  
• 2.2 IGIVU LLC makes available an online platform for you through which Lenders may make available certain items for rental by Borrowers and the Borrowers can rent the items listed for rental by the Lenders, upon agreement and approval between both the parties.
  
  
• 2.3 You acknowledge that you are solely responsible for payment of applicable taxes (if any) owed by you pursuant to your use of the IGIVU LLC’s Service.
  
  
• 2.4 IGIVU LLC strives to provide the services for the mutual benefit of both parties, Lenders and Borrowers and hence, the rules are laid down keeping this aim in mind. IGIVU LLC cannot be held responsible for, and excludes any liability for, the conduct of users (Borrowers and Lenders) using the IGIVU LLC service. 

3. Borrower’s Rules:  

You should read these rules carefully before using IGIVU LLC’s Service to rent an item. By using the IGIVU LLC’s service as a Borrower, you are agreeing to the following rules:

• 3.1 IGIVU LLC is only a platform for Borrowers to find items to rent from those who wish to lend them (“Lenders”). The IGIVU LLC Service enables Borrowers to enter into transactions with Lenders to rent these items
  
  
• 3.2 By signing up to the IGIVU LLC Service you are acknowledging that:
  
  
  • 3.2.1 You are renting the item from the “Lender”, another user of the IGIVU LLC Service who has signed up as a Lender, and you are not renting from IGIVU LLC.
    
    
  • 3.2.2 IGIVU LLC does not endorse or guarantee any items rented through the IGIVU LLC website or any content posted by Lenders (such as photographs, language, description used in listings)
    
    
• 3.3 As a Borrower, when you submit a request to borrow a particular item and that request is approved by the Lender, you will be charged the full Rental Fee as soon as the request is accepted. The “Rental Fee” means the daily rate you have agreed to pay to rent the item multiplied by the number of days that you have agreed to rent the item.
  
  
• 3.4 As a borrower you agree to pay “IGIVU LLC” a commission of 15% of the Rental Fee, also referred as “Community Fee” (“borrower Commission”) for every occasion when a transaction between a Borrower and Lender for the rental of an item is made through the IGIVU LLC Service.
  
  
• 3.5 By requesting to borrow an item you agree and warrant that you:
  
  • 3.5.1 have read and accepted the item description and the rental terms before making a request to borrow an item
    
    
  • 3.5.2 have an active PayPal account, credit card or debit card, using which you will sign up for your IGIVU LLC account, and using which you will (i) pay the required payments to rent the item, and (ii) pay the full estimated value of the item in the case of loss or damage. The estimated value is defined as a reasonable estimate determined by the lender unless the borrower disagrees in which case IGIVU LLC will determine the estimated value.
    
    
  • 3.5.3 accept liability for the full Estimated Value of the item in case of loss or damage.
    
    
  • 3.5.4 understand that the Lender reserves the right to accept or cancel a borrow request based on the availability of the requested item.
    
    
  • 3.5.5 you agree that you will ship the item back to the Lender on the scheduled date of return (the “Return Deadline”) and upload the tracking information (for return shipping) in the IGIVU LLC website before 11.59 pm on the scheduled date of return.
    
    
  • 3.5.6 If you would like to extend the period for which you borrow an item, you may submit an additional request to extend this period, for acceptance by the Lender, through the IGIVU LLC Service.
    
    
  • 3.5.7 If you have failed to extend the rental period for a particular item through the IGIVU LLC Service on or before the Return Deadline and, consequently, return the item after the Return Deadline, you acknowledge that IGIVU LLC may charge you as set out in the ‘3.6’ section of the Terms.
• 3.6 Borrowers are responsible for returning the Items to Lenders in the condition it was in when they received the Items. In case borrowers think that the item was not received in the condition expected or promised, they must immediately report, within 24 hours of receiving, to lender and IGIVU. Borrowers are responsible for their own acts and omissions and are also responsible for the acts and omissions of any individuals whom you invite to, or otherwise provide access to or use of the Items, excluding the Lenders. In the event the item is damaged, lost, stolen, or destroyed, you agree the IGIVU and its third-party payment processors may charge your payment method for up to the fair market value of the applicable Item to compensate for such damage, loss, or destruction of the Item.
  
  
• 3.7 You understand that when you enter into a Lending Transaction, you are being granted a limited license granted by the Lender to borrow and use the Item for the period identified in your borrowing request. You agree to return the Items no later than the time that is indicated in the accepted borrowing request. If you retain the Item beyond the agreed-upon time or fail to use reasonable efforts to communicate with the Lender during your rental period to coordinate delivery and return of the Item, you no longer have a license to borrow and use the Item and the Lender is entitled to make you return the items in a manner consistent with applicable law. In addition, you agree to pay for each twenty-four (24) hour period (or any portion thereof) that you retain the Item, an additional fee of up to two (2) times the average daily Hire Fee originally paid by you to cover the inconvenience suffered by the Lender and IGIVU, plus all applicable taxes, and any legal expenses incurred by the Lender and IGIVU to make you return the Item unless and until such late fees reach the estimated value of the retained Items. You authorize IGIVU and its third-party payment processors to charge your payment method for the fees described in this Section.
  
  

4. Lender’s Rules: 

You should read these rules carefully before using IGIVU LLC’s Service to make an item available for renting (as a Lender). By using the IGIVU LLC’s service as a Lender you are agreeing to the following rules:

• 4.1 IGIVU LLC is only a platform for Lenders where they can post items available for rent for those who wish to borrow them on rent. The IGIVU LLC Service enables the Lenders to enter into transactions with the Borrowers who want to rent these items
  
  
• 4.2 By signing up to the IGIVU LLC Service as a Lender, you are acknowledging that:
  
  
  • 4.2.1 You are lending the item to the “Borrower”(another user of the IGIVU LLC Service who has signed up as a Borrower) and you are not lending it to IGIVU LLC.
    
    
  • 4.2.2 IGIVU LLC does not endorse any borrower or any kind of content or communication posted by the buyers
    
    
• 4.3 As a Lender, you agree to pay “IGIVU LLC” a commission of 15% of the Rental Fee (“Lender Commission”) for every occasion when a transaction between a Borrower and Lender for the rental of an item is made through the IGIVU LLC Service.
  
  
• 4.4 As a Lender, you will receive the Lender Fee due to you 24 hours after the scheduled start of the rental. The “Lender Fee” means the Total Rental Fee minus the IGIVU LLC’s Commission.
  
  
• 4.5 Lenders can only register for an IGIVU LLC account using their PayPal account, as all payments will be processed only through PayPal
  
  
• 4.6 You can communicate directly with Borrowers on the IGIVU LLC Service by using the “Message User” feature. This is a good way to find out more information about the person who is looking to rent your item. However, you may not use this feature for the following:
  
  
  • 4.6.1 sending unsolicited advertising or promotions, requests for donations or spam;
    
  • 4.6.2 sending unsolicited advertising or promotions, requests for donations or spam;
    
  • 4.6.3 harassing or abusing another user; or
    
  • 4.6.4 forming an agreement outside the Terms agreed with us for the purposes of Fee avoidance
    
• 4.7 By offering to lend an item, you agree and warrant that you:
  
  
  • 4.7.1 have provided an accurate and true description about your item, including but not limited to, accurate up to date photographs, and a reasonable Estimated Value;
    
  • 4.7.2 provide honest, accurate information in your profile
    
  • 4.7.3 will not engage in Fee Avoidance; and
    
  • 4.7.4 You will communicate with the borrower through the means provided by IGIVU that can be a chat messenger or through emails on the platform.
    
  • 4.7.5 you will not try to engage in transactions with the Borrower outside of IGIVU LLC service in order to avoid IGIVU LLC’s commission.
    
• 4.8 IGIVU LLC reserves the right to review the listed items, accept or reject a request to post based on the information you provided or suggest necessary changes to be made before it can be posted. However, for some reasons, we have to prohibit certain items from being rented through the IGIVU LLC service. This may be for legal reasons, or to protect our users and the spirit of IGIVU LLC as a business. The following types of items are prohibited or restricted on IGIVU LLC:
  
  • 4.8.1 illegal items, items promoting illegal activity and highly regulated items
    
  • 4.8.2 internationally regulated items;
    
  • 4.8.3 pornography and mature content;
    
  • 4.8.4 items that violate third party intellectual property rights; or
    
  • 4.8.5 items obtained by theft of stealing activities 4.9 We reserve the right to remove any items from the IGIVU LLC website if we feel that, for whatever reason, it is inconsistent with our values 

5. Liabilities: 

• 5.1 Borrower’s Liabilities
  
  
  • 5.1.1 As a Borrower, by requesting to rent an item through the IGIVU LLC Service, you are agreeing to the Estimated Value assigned by the Lender. If you do not agree with this Estimated Value, do not request to borrow the item. If you do agree to this Estimated Value, you are agreeing to be liable for up to the full Estimated Value of that item, in the case of loss or damage while you are renting this item.
    
    
  • 5.1.2 We have the right to take money up to the Estimated Value of the item from your account without seeking further permission from you, if we reasonably believe you have caused damage to the item, or lost it.
    
    
  • 5.1.3 You further acknowledge that as a Borrower, if you return the item after the Return Deadline, IGIVU LLC entitled to charge you up to twice the full Rental Fee for each additional day that the item is returned after the Return Deadline (for the avoidance of doubt, if the item is returned after the Return Deadline on the scheduled day of return, you shall be charged for a full additional day of rental). You further acknowledge that we may take the funds directly from your account to cover such charges, without seeking further permission from you. The Return Deadline is the time you agreed to return ship the item back to the lender.
    
    
  • 5.1.4 In the event of a good faith dispute between the parties in relation to the Estimated Value of a particular item, IGIVU LLC has the sole discretion to set an appropriate Estimated Value for that item, determined in good faith and considering the reasonable representations of the parties.
    
    
  • 5.1.5 If you refuse to pay for any damage caused, or to pay any amount that you owe to IGIVU LLC or an IGIVU LLC user, for any reason, within the timeframe given to you by us we will engage the services of debt collectors who will pursue this debt with you on our behalf. You agree that the charge for their services will be added to the debt they will be collecting from you. 
    
    
• 5.2 IGIVU LLC’s Liabilities 
  
  
  • 5.2.1 Under no circumstances, IGIVU LLC shall be held liable or responsible for the acts of any third party who uses the IGIVU LLC Service (including any third party with whom you enter into a transaction through IGIVU LLC). IGIVU LLC is only acting as an intermediary in respect of any transaction entered into, by the parties introduced to each other through the IGIVU LLC Service for the rental of any item listed on the IGIVU LLC website and accepts no liability for the performance of either party (i.e. Borrower or Lender) in relation to any such transaction
    
    
  • 5.2.2 IGIVU LLC is not responsible or liable in any way for:
    
    
    • 5.2.2.1 for the loss or damage to the item offered by the lender, being rented by a borrower, as IGIVU LLC is only acting as an intermediary between the borrower and the lender. Although, as per the set Buyer Rules, the borrower will be held responsible for the loss or damage of the item being rented by the borrower. The Borrower agrees to pay the estimated item value in case of loss or damage.
      
      
    • 5.2.2.2 indirect losses which are a side effect of the main loss or damage and which are not reasonably foreseeable by at the time of entering into this agreement, (for example loss of profits or loss of opportunity)
      
      
    • 5.2.2.3 for any kind of personal injury or death resulting from the proper or improper use of any item rented through the IGIVU LLC service
      
      
    • 5.2.2.4 failure to provide the IGIVU LLC Service or to meet any of our obligations under this agreement where such failure is due to Events Beyond Our Control. “Events Beyond Our Control” means any cause beyond our reasonable control which prevents us from providing the Service or fulfilling any of our other obligations under this agreement and includes but is not limited to fire, flood, storm, riot, civil disturbance, war, nuclear accident, terrorist activity and acts of God. 

6. Use of Personal Information:

By using IGIVU LLC Services, you are agreeing to the collection, transfer, storage and use of your personal information by IGIVU LLC. You agree IGIVU LLC may use the personal information that you submit to us: (i) to verify your identity; (ii)to verify your PayPal account; (iii) for conducting “know your customer” (KYC) checks; and (iv) conducting “know your transaction” (KYT) checks. 

7. Cancellation of Listings and Transactions: 

• 7.1 If you, as Borrower, request to borrow an item, you may subsequently cancel your request to borrow that item, without any charge or liability by notifying IGIVU LLC, provided such cancellation is affected:
  
  
  • 7.1.1 at any time prior to that request being accepted by the Lender; or
    
    
  • 7.1.2 within 48 hours of submitting that request if your item has not shipped yet
    
    
  • 7.1.3 If you have prepaid any amounts in consideration for any transaction which you cancel within the terms of section
    
  • 7.1.4 And you will be entitled to a refund of such fees.
    
    
• 7.2 If you, as a Borrower, cancel a request (which has been approved by the Lender) you shall not receive a refund of the amounts otherwise charged
  
  
• 7.3 If you, as Lender, list an item for rental, you may subsequently cancel your listing of that item for rental, without any charge or liability:
  
  
  • 7.3.1 At any time prior to approving a request from a Borrower to borrow an item; or
    
    
  • 7.3.2 Within 48 hours of approving a request to borrow an item by the Lender.
    
    
• 7.4 If you, as a Lender, cancel the listing of an item (in respect of which, you have accepted a request from any Borrower to borrow) for rental, or cancel any acceptance of a request from a Borrower to borrow an item after the 48 hour period of accepting the request, you shall be liable to pay a cancellation charge to IGIVU LLC, which is calculated as an amount equal to 20% of the Rental Fee.
  
  
• 7.5 If IGIVU LLC believes that you intend to cause harm to any items you rent through the platform, or believe you are renting with intent to steal; we reserve the right to cancel your rental immediately and without warning, and charge you an appropriate sum. This sum will up to but not more than the total value of the items in question. It is at IGIVU LLC’s discretion to determine what is an appropriate sum in each instance.
  
  
• 7.6 IGIVU LLC reserves the right to accept or decline any listing request submitted by the Lender, based on the listing content, if any of the contents of the listing violates our listing content policy, or if any content of the listing is found inappropriate, misleading or inaccurate with respect to item. 

8. Disputes:

• 8.1 Disputes between Users
  
  
  • 8.1.1 If you have a dispute with one or more IGIVU LLC users, you release us (and our officers, directors, agents, and employees) from any and all claims, demands and damages (actual and consequential) of every kind and nature, known or unknown, arising out of or in any way connected with such disputes.
    
    
  • 8.1.2 If a Borrower and Lender are unable to resolve a dispute, IGIVU LLC will make reasonable efforts to mediate in respect of such dispute and, without prejudice to its rights set out under these Terms, may choose to deduct money up to the estimated value of a particular item from the account of the Borrower to compensate the Lender following loss or damage of a particular item that has been rented as part of the transaction. IGIVU LLC will also charge a fee of 20% of the amount charged on top of any amount collected in order to cover the service of acting as a mediator.
    
    
• 8.2 Disputes between you and IGIVU LLC:
  
  
  • 8.2.1 If the unlikely event of a dispute arises between you and IGIVU LLC we strongly encourage you to first contact us directly to seek a resolution by going to the IGIVU LLC Contact page. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.
    
    
  • 8.2.2 If you wish to take court proceedings against us you must do so within the United States of America, and only the law of the U.S.A. will apply.
